Hotel Partner Terms
For hotels with a drivoo partner account
1. About these terms
drivoo is operated by TechSphere Solutions Limited, IH01, Innovations One, DIFC, Dubai, United Arab Emirates, licence number CL8452, issued by the Dubai International Financial Centre (DIFC). These terms are between drivoo and the company that owns or runs the hotel and signs up as a drivoo hotel partner ("your company").
The authorised person accepts them for your company when signing up, with our Privacy Notice. If we set up your partner account ourselves, one of your admins accepts them once in the partner portal. By accepting, that person confirms they have your company's authority to accept these terms for it. We may ask for proof, such as the trade licence naming them, a power of attorney or a board resolution. The rides your guests take are also under our Terms of Service and Cancellation and Refund Policy.
2. Our role and who carries out the rides
- drivoo is a technology and booking platform, not a transport operator. We take your company's bookings and payments and arrange each ride with a fleet operator; we don't own the cars or employ the chauffeurs.
- The chauffeurs and the cars are provided by fleet operators licensed by the Roads and Transport Authority (RTA). The fleet operator that carries out a ride holds the licences and permits its chauffeurs and cars need, and the motor insurance for its cars.
- The fleet operator is responsible for road accidents on the rides it carries out, and for any injury, loss or damage its chauffeurs or its cars cause. A claim for such an accident or damage is made against that fleet operator and its motor insurer.
3. Signing up and our review
- You give us your company's trade licence, VAT registration certificate, the authorised person's Emirates ID (both sides) and passport, an accounts contact and your first property. We verify the authorised person's mobile number and email.
- One legal entity has one partner account of each kind. If your trade licence or tax registration number already has an account of this kind, or an application waiting, we can't accept another: contact us, or that account's admin, to be added to it.
- We review every application. We approve it, ask for more, or decline it with a reason; a declined application can be corrected and sent again. We may decline an application if documents are missing, unreadable, not valid or don't match the company or the authorised person; if we can't verify the company, its details or the authorised person; if information given is false or misleading; or if we have reason to suspect fraud, or the law doesn't allow us to serve the company.
- At the review step, the authorised person may write what in these terms your company doesn't accept. We approve an application with such a query only once we have answered it in writing, and our answer becomes part of your company's Account Agreement.
- By accepting these terms after we have verified their mobile number and email, the authorised person signs them electronically for your company.
- When we approve the application, we email the authorised person and your accounts contact that the account is active, with your company's Account Agreement attached: one PDF, in English and Arabic, recording the parties, how your company pays, its commission and rates, the full text of these terms and of the Privacy Notice at the versions accepted, and the record of the acceptance. Your admins can download it in the partner portal.
- Once approved, your partner account opens with its first property, and we invite the authorised person as its first admin.
- Keep your documents current. An expired document never stops your bookings.
4. Your properties and your users
- Your partner account is your legal entity. It has one or more properties, each a hotel, a branch or an office, with its own name, address and contacts. Each property has its own users, saved places, guest link and QR code, and bookings.
- Your account's admins add, change and close properties, add users to any property, and see every property's bookings, invoices and statements. A property's admin manages that property's users. A property's booker books for that property and sees its bookings, or only the bookings they made when an admin restricts them.
- A closed property takes no new bookings; its history stays.
- Your company is responsible for its users and for everything done on its partner account, including the bookings its users make, and for any misuse of the account, or fraud on it, by its users. Give access only to people who need it, keep their details current, remove a user who leaves, and tell us at once if you think someone has used the account without permission.
5. Booking for your guests
- Your users book rides for your guests in the partner portal.
- For each booking you give us the guest's name and mobile number, and the details the ride needs, such as a flight or a room. Your company is responsible for the guest details it gives us: they must be accurate, and your company must be allowed to give them to us and to have us contact the guest about the ride.
- We send the guest the messages about their ride, its tracking link and, when your company pays for it, a receipt saying so.
- Your company is responsible for the conduct of the guests your users book rides for, and of anyone travelling with them, and for any injury, loss or damage they cause to a chauffeur, a car or anyone else on those rides.
6. Your guest link and QR code
Each property has its own guest link and QR code. A booking made through it on the website or in the app is credited to your company, and so are that rider's later bookings for 30 days after it. The first partner's link a rider used counts. We may correct a booking credited to the wrong partner.
7. Rates
Your bookings are priced on our public rate card, unless we agree your own rates with your company (net rates), for your account or for a property. We may change your rates; a change applies to rides booked after it. Each receipt and invoice shows the price of the ride.
8. Commission
- Your company earns commission only once we agree a rate with it, for your account or for a property: a percentage of each ride's fare before VAT, without waiting time, tolls, parking, tips or the booking fee, or a fixed amount per ride.
- Commission is worked out when each ride credited to your company is completed, and added up for each settlement cycle. We pay it by bank transfer, or credit it against your company's invoices.
- We may change the rate; a change applies to rides completed after it.
9. Paying for rides: on account or by the guest
Each booking is paid on your company's account, or by the guest, by card or with a payment link we send them.
Credit limit. Your company books on account only within the credit limit we set for it. We decide the limit when we approve your application, whether or not you applied for one, and we may change it later. With no limit, rides are paid by the guest. Your credit available is the limit less your unpaid invoices and the rides not invoiced yet, across all your properties. A booking on account that would go beyond it is refused on account, and can still be paid by the guest. We tell your admins when your credit available runs low.
10. Invoices
- We invoice the rides on your company's account once a month: one tax invoice per property, addressed to your company with its tax registration number, and a statement listing every property.
- Each invoice is due within the number of days after it is issued that your company's payment terms set, and shows its due date. An invoice already issued keeps its due date when the terms change.
- Your company pays by bank transfer, deposit or cheque, quoting the invoice. We may charge interest on an amount paid late, at a rate the law allows.
11. Cancellations, no-shows and waiting
Our Cancellation and Refund Policy applies to your bookings. Its fees on a booking on your company's account are charged to your company, and on a booking the guest pays, to the guest.
12. Data protection
Your company is responsible for the details of its users and guests it gives us. Before it gives us a guest's details, your company must tell the guest that it shares them with us for the ride, and point them to our Privacy Notice. drivoo is responsible for its own use of those details to run the rides, the payments and our records. Each of us is responsible for its own use, separately.
Your company's documents are stored privately and seen only by our review team. If we decline an application, we delete its documents 5 years after our decision. Our Privacy Notice explains how long we keep other records.
13. Suspending and ending
- We can suspend or reactivate your partner account at any time, with a reason. While it is suspended, your users can't make bookings.
- We may suspend your partner account at once if we reasonably believe it is being misused: fraud or misuse of payments, false bookings, threatening or abusive behaviour towards a chauffeur or our team, damage caused on purpose, or a serious breach of these terms or of the law. We tell your admins the reason, unless the law or an investigation stops us, and your company still pays for rides already taken.
- Your company or we can end these terms at any time with 30 days' written notice, and we can end them at once if your company seriously breaches them. When they end, your users can no longer book, and your company still pays for rides already taken and any fees and invoices it owes.
14. Responsibility, indemnity, law and disputes
Each ride is carried out by its fleet operator, which is responsible for the ride itself: the chauffeur, the car, its motor insurance and the driving (section 2). We are responsible for our booking platform.
Indemnity. Your company will indemnify drivoo against any claim, loss, damage, fine or reasonable cost, including reasonable legal costs, that drivoo suffers because of a breach of these terms by your company or its users; the conduct of the guests your users book rides for, or of anyone travelling with them, or damage they cause; any misuse of its partner account, or fraud on it, by its users; or guest or user details your company gives us without the right to. This doesn't apply as far as the loss was caused by drivoo's own breach, negligence or fraud.
Our liability. As far as the laws that apply in the UAE allow, drivoo's total liability to your company for a ride is limited to the amount paid for it; drivoo is not liable for road accidents, or for injury, loss or damage caused by a fleet operator, its chauffeurs or its cars; and neither of us is liable to the other for indirect losses, such as lost profit or business. Nothing in these terms limits or excludes drivoo's liability for death or personal injury caused by its own fault, for its gross negligence or fraud, or for anything else the law doesn't allow to be limited or excluded, and nothing in them limits your company's duty to pay for rides, fees and invoices.
These terms are governed by the laws of the Dubai International Financial Centre (DIFC), and the DIFC Courts decide any dispute about them. This doesn't take away any protection the law gives you that can't be excluded by agreement.
15. Changes to these terms
The version and date at the top show which text is in force. When we change it in a way that matters, we update the version and tell your admins, and one of them accepts the new version once for your company in the partner portal. Your bookings are never paused while it waits. Your company's Account Agreement keeps the version it accepted at sign-up.
